Terms of Service

These Terms of Service (“Terms”) govern the provision of internet access services and related services by The Laffoon Corporation d/b/a Vertical Horizon Networks, LLC (“The Laffoon Corporation", “Vertical Horizon Networks,” “VHN,” “we,” “our,” or “us”) to customers (“Customer,” “you,” or “your”). By subscribing to, accessing, or using VHN services, you agree to these Terms.

These Terms incorporate by reference VHN’s Privacy Policy, Network Management Policy, and Acceptable Use Policy (“AUP”). If there is a conflict between these Terms and a referenced policy, these Terms control unless stated otherwise.

1. Services

VHN provides internet access services and related services using fiber-optic and fixed wireless infrastructure (collectively, the “Service”). Service availability, performance, and features vary by location, technology, and network conditions. Some services may require installation of equipment at the service address.

2. Best-effort performance and speeds

The Service is provided on a best-effort basis. Advertised speeds describe typical or target performance under normal conditions and are not a guarantee of any minimum or constant speed. Actual performance may vary due to factors including congestion, equipment capability, Wi-Fi conditions, internal wiring, third-party networks, upstream providers, weather, interference, maintenance, or outages.

3. Fixed wireless considerations

Fixed wireless performance depends on line-of-sight, terrain, vegetation, interference, tower loading, and weather. Availability may change as conditions or surrounding environments change. VHN may require feasibility review or site validation before finalizing fixed wireless service.

4. Customer responsibilities

Customers are responsible for: (a) providing accurate information for service qualification and billing; (b) maintaining a safe environment for installation and service; (c) securing their devices and networks; and (d) complying with these Terms and all referenced policies. Customers are responsible for any use of the Service through their account, whether authorized or unauthorized.

5. Billing, payment, and fees

Customers agree to pay all applicable charges for the Service, including recurring monthly charges and any approved one-time fees. Charges, promotions, discounts, and payment methods may vary by service area and plan. Failure to pay may result in late fees (where applicable), service restriction, suspension, or termination.

6. Service suspension and termination

VHN may suspend, restrict, or terminate the Service for nonpayment, suspected fraud, violations of the AUP, actions that threaten network integrity, or as required by law. VHN may also suspend service to perform maintenance, upgrades, or emergency repairs. Where practical, VHN will attempt to provide notice; however, immediate action may be taken when necessary to protect the network or other customers.

7. Equipment

Service may require VHN-provided or customer-owned equipment. VHN may provide or install certain equipment as part of the Service, and may require compatible equipment for proper operation. Customers are responsible for the condition and performance of customer-owned equipment. Damage caused by customer misuse, tampering, or unsafe conditions may result in additional charges.

8. Network management

VHN manages network resources to maintain reliability, security, and quality of service for all customers. Network management practices are described in the Network Management Policy, which is incorporated by reference.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VHN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VHN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VHN IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. VHN’S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT PAID BY THE CUSTOMER TO VHN FOR THE SERVICE DURING THE ONE (1) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, UNLESS A DIFFERENT LIMIT IS REQUIRED BY LAW.

11. Changes to service or terms

VHN may modify the Service, pricing, these Terms, or referenced policies from time to time. Updates may be posted on the website and may be effective upon posting unless a longer notice period is required by law. Continued use of the Service after changes are posted constitutes acceptance of the updated terms.

12. Governing law

These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles.
